Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you and PassAfrik Technologies Ltd ("PassAfrik", "we", "our", or "us") governing your access to and use of the PassAfrik website and platform. Please read them carefully. By creating an account, purchasing a ticket, or listing an event, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.


1. Definitions

AttendeeAny user who browses events, purchases tickets, or attends events listed on the Platform.
OrganizerAny user or entity that creates, lists, and sells tickets for events through the Platform.
EventA concert, festival, conference, workshop, sports event, cultural gathering, or any other ticketed experience listed on the Platform.
TicketA digital proof of entitlement to attend an Event, issued as a QR code (physical events) or a virtual access link (online events).
Virtual TicketA Ticket that grants access to an online or hybrid Event via a unique streaming link, and which is non-transferable and non-resalable.
BookingA confirmed purchase of one or more Tickets for a specific Event.
Platform FeeThe service charge applied by PassAfrik to Bookings, as displayed at checkout and configurable per country.
PayoutThe disbursement of ticket sale proceeds to an Organizer after deduction of Platform Fees.

2. Eligibility

You must be at least 16 years of age to create an account or purchase tickets on PassAfrik. By using the Platform, you represent that you meet this age requirement. If you are using the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and references to "you" include that entity.

3. Account Registration

To purchase tickets or list events, you must create an account using Manus OAuth. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at [email protected] if you suspect unauthorised access. PassAfrik is not liable for losses arising from your failure to protect your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Platform Role — Marketplace, Not Promoter

PassAfrik is a technology marketplace that connects Organizers and Attendees. PassAfrik is not the organizer, promoter, or producer of any Event listed on the Platform. Organizers are solely responsible for the accuracy of Event information, the delivery of the Event as described, compliance with applicable laws (including permits, licences, and health and safety regulations), and the fulfilment of any obligations to Attendees. PassAfrik's liability is limited to the technology services it provides, as further described in Section 12.

5. Attendee Terms

As an Attendee, you agree to the following:

  • Ticket Validity: Tickets are valid only for the specific Event, date, time, and tier purchased. Tickets may not be duplicated or counterfeited.
  • Entry Requirements: You are responsible for meeting any entry requirements set by the Organizer, including age restrictions, dress codes, identification, and health requirements.
  • Event Changes: Organizers may change Event details (venue, time, lineup) or cancel Events. PassAfrik will notify you of material changes by email. Refund eligibility for cancelled Events is governed by Section 7.
  • Conduct: You agree to comply with the Organizer's venue rules and applicable laws. PassAfrik and Organizers reserve the right to refuse entry or remove attendees who violate these rules.
  • Resale Restrictions: Physical tickets may be listed on the PassAfrik resale marketplace subject to Section 9. Virtual Tickets may not be transferred or resold under any circumstances.

6. Organizer Terms

By listing an Event on PassAfrik, you agree to the following additional terms:

  • Accuracy: All Event information (title, description, date, time, venue, ticket prices, capacity) must be accurate and kept up to date. Misleading listings may be removed without notice.
  • Legal Compliance: You are solely responsible for obtaining all necessary permits, licences, and approvals required to host your Event in the relevant jurisdiction.
  • Organizer Application: New organizers must submit an application and receive approval from PassAfrik before listing paid events. PassAfrik reserves the right to approve or reject applications at its discretion.
  • Payouts: Payouts are processed after deduction of Platform Fees. Organizers must provide valid bank account details. PassAfrik reserves the right to withhold payouts pending fraud investigations or unresolved disputes.
  • Cancellations: If you cancel an Event, you must notify PassAfrik immediately. Attendees of cancelled Events are entitled to a full refund of the ticket price. Platform Fees are non-refundable to Organizers in the event of cancellation.
  • Staff and Scanners: Organizers may grant scanner and staff access to designated team members. Organizers are responsible for the actions of their staff on the Platform.

7. Payments, Fees, and Refunds

All payments are processed in the currency displayed at checkout. PassAfrik supports card payments via Stripe and cryptocurrency payments via NOWPayments. By completing a purchase, you authorise PassAfrik to charge the stated amount.

Refund requests must be submitted to [email protected]. Processing times depend on your payment method and financial institution (typically 5–10 business days for card payments).

8. Virtual Tickets

Virtual Tickets grant access to online or hybrid Events via a unique, single-use access link delivered to the email address associated with your Booking. Virtual Tickets are strictly non-transferable and non-resalable. Sharing your access link with third parties is a violation of these Terms and may result in account suspension. PassAfrik and Organizers reserve the right to revoke access links that have been shared without authorisation. The Organizer is solely responsible for the quality, availability, and content of the virtual stream or online experience.

9. Ticket Transfers and Resale

Physical tickets (QR-code tickets) may be transferred to another person via the PassAfrik transfer feature, subject to the following conditions: the ticket must not have been checked in; the recipient must have a PassAfrik account; and the transfer must be completed before the Event date. Organizers may disable transfers for specific Events at their discretion.

Physical tickets may also be listed for resale on the PassAfrik resale marketplace at a price set by the seller. PassAfrik does not guarantee the sale of any listing. Resale transactions are subject to the same Platform Fees as primary sales. Virtual Tickets may not be listed for resale under any circumstances. PassAfrik reserves the right to remove listings that violate these Terms.

10. Prohibited Conduct

You agree not to engage in any of the following activities:

  • Using the Platform for any unlawful purpose or in violation of any applicable law or regulation.
  • Creating fraudulent Events, fake accounts, or submitting false information.
  • Purchasing tickets with stolen, fraudulent, or unauthorised payment methods.
  • Scraping, crawling, or systematically extracting data from the Platform without written permission.
  • Attempting to circumvent, disable, or interfere with security features of the Platform.
  • Sharing Virtual Ticket access links with persons other than the intended attendee.
  • Listing tickets for resale at prices that violate applicable consumer protection laws.
  • Harassing, threatening, or abusing other users, Organizers, or PassAfrik staff.
  • Using the Platform to distribute spam, malware, or other harmful content.

Violation of these prohibitions may result in immediate account suspension, termination, and where appropriate, referral to law enforcement authorities.

11. Intellectual Property

All content on the PassAfrik Platform — including the logo, design, software, text, graphics, and data compilations — is owned by or licensed to PassAfrik Technologies Ltd and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Platform content without our prior written consent. Organizers retain ownership of their Event content (descriptions, images, videos) and grant PassAfrik a non-exclusive, worldwide licence to display and promote that content on the Platform for the duration of the Event listing.

12. Disclaimers and Limitation of Liability

The Platform is provided on an "as is" and "as available" basis. PassAfrik makes no warranties, express or implied, regarding the Platform's fitness for a particular purpose, uninterrupted availability, or freedom from errors.

PassAfrik is not responsible for: the cancellation, postponement, or quality of any Event; the conduct of Organizers or Attendees; losses arising from Event changes outside our control; or the accuracy of Event descriptions provided by Organizers.

To the maximum extent permitted by applicable law, PassAfrik's total liability to you for any claim arising out of or related to these Terms or the Platform shall not exceed the amount you paid to PassAfrik in the 12 months preceding the claim. PassAfrik shall not be liable for indirect, incidental, special, consequential, or punitive damages.

13. Indemnification

You agree to indemnify, defend, and hold harmless PassAfrik Technologies Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: your use of the Platform; your violation of these Terms; your violation of any applicable law; or, if you are an Organizer, any claim by an Attendee relating to your Event.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If the dispute is not resolved within 30 days, it shall be referred to mediation under the Lagos Court of Arbitration Rules. If mediation fails, the dispute shall be submitted to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

Nothing in this section prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm.

15. Changes to These Terms

PassAfrik reserves the right to modify these Terms at any time. When we make material changes, we will notify registered users by email and update the "Last updated" date at the top of this page. Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Platform.
